# Terms of Service

### 1. Basic Information

#### 1.1 Contracting Parties

This User Agreement (this "Agreement") is entered into between you and Market Cards Limited ("Market.Cards," the "Platform," "we," "us," or "our"). The registration number, registered address, and address for service of the operating entity are continuously published in the website footer or Legal Center and are incorporated into this Agreement.

#### 1.2 Scope

This Agreement applies to your access to or use of market.cards and the related applications, accounts, wallet interfaces, physical card gacha products, Digital Card Records, Vault coordination, marketplace transactions, time-limited quotes, physical delivery, AMOE, promotions, and related services (collectively, the "Services").

#### 1.3 Affirmative Consent

Before you create an account, before your first paid transaction, and whenever the dispute provisions are materially changed, we will require you to confirm your consent through an unchecked checkbox or an equivalent affirmative mechanism. By clicking "Agree and Continue," "Confirm Purchase," "Accept Quote," or an equivalent button, you acknowledge that you have been provided with a version of the applicable terms that you can save and that you agree to those terms. Merely browsing publicly accessible pages does not constitute consent to engage in paid transactions.

#### 1.4 Order of Precedence

This Agreement, the Privacy Policy, and any product page, gacha rules, probability page, marketplace rules, Vault rules, quote rules, AMOE/promotion official rules, fee schedule, and jurisdictional restriction notice expressly identified as binding collectively constitute the contractual documents. For a specific transaction, the transaction confirmation page prevails over the general Platform Rules, and the Platform Rules prevail over the general provisions of this Agreement; provided, however, that no document may exclude any mandatory consumer rights under applicable law.

#### 1.5 Promotional Materials

Advertising, social media content, reference valuations, historical sales, FAQs, community content, and general explanations provided by customer support do not constitute a guarantee of repurchase, value, or returns unless they are expressly incorporated into the Agreement or constitute an express representation as a matter of law.

#### 1.6 Language

The different language versions are intended to have the same meaning. If an inconsistency cannot be resolved, the English version will prevail to the extent permitted by law. If the law of a user's jurisdiction requires a local-language text or an interpretation more favorable to the consumer, that law will apply.

### 2. Key Definitions

#### 2.1 Cards and DCRs

"Card" means a specific physical collectible card or other physical collectible identified on the relevant product page. "Digital Card Record" or "DCR" means an account record, unique identifier, or blockchain record recognized by the Platform and corresponding on a one-to-one basis to that physical Card. A DCR merely records rights in the Card under this Agreement; it is not legal tender, a bank deposit, a security, an equity interest in the Platform, an income certificate, or a right to share in the Platform's profits.

#### 2.2 Gacha

"Gacha" means a product under which, after a user pays the disclosed price, one genuine physical Card is allocated to the user from a designated inventory pool in accordance with random allocation rules or deterministic protection rules that are disclosed before payment and locked for that order.

#### 2.3 Fair Value

"Fair Value" means a good-faith estimate based on disclosed data sources, comparable sales, grade, condition, liquidity, and reasonable adjustments. It is not an appraisal, a minimum sale price, or a commitment by any buyer to transact.

#### 2.4 Buyback Offer

"Buyback Offer" means an offer by the Platform to purchase a specific Card at a stated price and within a stated validity period. A Buyback Offer is valid only for the period and subject to the conditions displayed on the relevant page.

#### 2.5 Vault and Service Providers

"Vault" means a third party or a segregated custody arrangement that holds, identifies, and processes Cards for users. "Service Providers" include Vaults, authentication or grading providers, logistics providers, payment or wallet providers, KYC/AML providers, liquidity providers, marketplace participants, insurers, cloud service providers, and data providers.

#### 2.6 Supported Jurisdictions and Restricted Jurisdictions

"Supported Jurisdiction" means any country, state, province, city, or territory expressly identified in the Legal Center as a jurisdiction in which a particular feature is available. "Restricted Jurisdiction" means any location that is not included in the applicable supported list, is expressly geoblocked, is subject to applicable sanctions, or in which use of the relevant feature may be unlawful or require a license that the Platform has not obtained.

### 3. Eligibility, Accounts, and Verification

#### 3.1 Age and Capacity

You must be at least 18 years old and must have reached the legal age of majority, or any higher age threshold applicable to the relevant feature, in your jurisdiction. If a page requires users to be at least 21 years old, the higher threshold applies. Minors may not use the Services.

#### 3.2 Individual Accounts

Unless the Platform agrees otherwise in writing, each person may use only one account. You must provide information that is true, accurate, complete, and kept up to date, and you may not lend, lease, sell, share, or permit another person to control your account.

#### 3.3 Identity and Compliance Reviews

To the extent permitted by law, we and our Service Providers may verify your identity, age, address, device, payment method, wallet, source of funds, sanctions status, tax information, ownership of Cards, and purpose of transactions. Refusing or failing to complete a reasonable verification may result in the delay, restriction, or closure of the relevant features.

#### 3.4 Account Security

You must safeguard your password, devices, recovery methods, and multi-factor authentication and promptly report any unauthorized access. We will never ask for your wallet seed phrase. Instructions submitted through valid authentication will generally be treated as having been issued by you, except to the extent that a loss results from unlawful conduct, negligence, or a security failure for which we may not lawfully exclude liability.

### 4. Supported Jurisdictions, Geoblocking, and Sanctions

#### 4.1 Expressly Restricted Jurisdictions

Unless otherwise expressly stated in a list of Supported Jurisdictions published on our website, application, or Legal Center, the Services are not offered to any individual or entity located, ordinarily resident, incorporated, organized, established, or actually conducting business in any of the following countries or territories:

* (a) Cuba;
* (b) Iran;
* (c) the Democratic People's Republic of Korea;
* (d) Syria;
* (e) Mainland China. Solely for purposes of determining the geographic scope of the Services under this Agreement, Mainland China excludes the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan;
* (f) the Autonomous Republic of Crimea and the City of Sevastopol in Ukraine;
* (g) the areas of the Donetsk, Kherson, Luhansk, and Zaporizhzhia oblasts of Ukraine that are not controlled by the Government of Ukraine; and
* (h) any other country or territory subject to applicable comprehensive sanctions, an embargo, or another materially similar restriction, or expressly included by us on the list of Restricted Jurisdictions.

The foregoing countries and territories are collectively referred to as the "Restricted Jurisdictions." Users in Restricted Jurisdictions may not register an account or use any purchase, paid draw, reveal, listing, trading, Instant Sell Quote, deposit, withdrawal, promotion, AMOE, Vault, Card delivery, or other feature involving a transaction, payment, or disposition of assets. We may permit such users to browse publicly accessible content that does not require registration, but doing so does not mean that the Services are offered in that jurisdiction.

#### 4.2 Other Restricted Users

The following individuals and entities are also prohibited from using the Services:

* (a) any individual or entity directly or indirectly owned or controlled by an individual or entity in a Restricted Jurisdiction, or acting on behalf of, at the direction of, or for the benefit of such an individual or entity in order to circumvent this Section;
* (b) any individual or entity included on a sanctions list, asset-freeze list, restricted-party list, or other similar list maintained by the United Nations, the United States, the European Union, the United Kingdom, or any other governmental, regulatory, or law-enforcement authority having jurisdiction over us, the Services, or the relevant transaction;
* (c) any individual or entity directly or indirectly owned or controlled by, or acting on behalf of, at the direction of, or for the benefit of, a sanctioned or restricted individual or entity described in the preceding paragraph; or
* (d) any individual or entity prohibited from accessing the Services, maintaining an account, or participating in a relevant transaction under applicable law, sanctions, export controls, anti-money laundering requirements, a court order, or any other legal restriction.

#### 4.3 Feature-Specific Availability

In addition to the Restricted Jurisdictions listed in Section 4.1, we may establish different Supported Jurisdictions, age thresholds, transaction limits, and eligibility requirements for browsing, registration, paid Gacha, reveals, marketplace purchases and sales, Instant Sell Quotes, USDC deposits or withdrawals, AMOE, promotions, Vault services, and physical delivery, based on the laws, age requirements, payment conditions, logistics capabilities, and risk profile of each country or territory. The availability of one feature in a jurisdiction does not mean that any other feature is available there.

#### 4.4 Location at the Time of a Transaction

In addition to your place of account registration, place of incorporation, and ordinary residence, your actual physical location when submitting an order, making a paid draw, revealing a Card, listing a Card, making a purchase, accepting a quote, making a deposit or withdrawal, participating in an AMOE or promotion, or requesting physical delivery must be a Supported Jurisdiction for the relevant feature. While you are in a Restricted Jurisdiction or a jurisdiction in which the feature is unsupported, you may not initiate the relevant action yourself or instruct another person to do so.

Registering an account in a Supported Jurisdiction does not entitle you to continue using the relevant features after you enter a Restricted Jurisdiction.

#### 4.5 Jurisdiction and Eligibility Determination

To enforce jurisdictional restrictions, age requirements, sanctions screening, and other compliance obligations, we may use a combination of the following information:

* (a) IP address, device, browser, and network signals;
* (b) GPS, system-region, or device-location information, provided that we will obtain any required authorization in advance where required by law;
* (c) SIM card, telephone area code, and mobile-network information;
* (d) residence, place of incorporation, and actual place of business shown in KYC or other identity-verification materials;
* (e) nationality or citizenship, but only where that information is relevant under applicable law, sanctions screening, or other compliance requirements;
* (f) billing address and the location of the card issuer, bank, payment institution, or payment method;
* (g) delivery address, forwarding address, and Vault location;
* (h) wallet address, blockchain analytics results, sanctions-screening results, and source-of-funds information; and
* (i) other reasonable signals relating to jurisdiction, identity, payment, sanctions, or circumvention risk.

Unless otherwise required by law, a single signal will not ordinarily determine the final outcome on its own. We may require you to provide supplemental materials to verify your actual physical location, residence, identity, or transaction eligibility.

#### 4.6 Prohibition on Circumvention

You may not use a VPN, proxy server, remote desktop, GPS spoofing, device emulation, false or borrowed identity, nominee account, nominee arrangement, forwarding address, another person's payment method, another person's wallet, or any other method to circumvent age, jurisdictional, sanctions, payment, transaction-frequency, transaction-limit, or other Service restrictions.

The use of general privacy or cybersecurity tools does not, by itself, constitute a violation. You may not, however, use such tools to conceal, falsify, or misrepresent your true identity, actual physical location, residence, or eligibility to use the Services when conducting a transaction.

You also may not operate an account, make a payment, receive a Card, control a wallet, or conduct a transaction on behalf of a Restricted User.

#### 4.7 Dynamic Adjustments

Laws, regulatory policies, sanctions, payment-network rules, logistics conditions, licensing requirements, and risk conditions may change. We may add, narrow, suspend, or restore the Services in specific countries, territories, or with respect to specific features.

Restrictions imposed due to changes in law or sanctions, governmental orders, security incidents, or urgent requirements of payment or logistics providers may take effect immediately. For other material adjustments, we will provide advance notice, to the extent reasonably practicable, through a website notice, account notification, email, or other appropriate means.

As a general rule, an update to the list of Supported Jurisdictions affects only registrations, orders, and transactions occurring after the update takes effect and will not retroactively alter a transaction you lawfully completed or your existing ownership of a Card, except as otherwise required by applicable law, sanctions, a court order, or a regulatory requirement.

#### 4.8 Treatment of Accounts and Assets Following Geoblocking or Restriction

Geoblocking, a change in jurisdictional eligibility, or a restriction on account features does not, by itself, result in the forfeiture of Cards you lawfully acquired, settled account balances, or other demonstrable transaction rights.

To the extent permitted by applicable law and after you complete any necessary identity, sanctions, anti-money laundering, and ownership verification, we will provide one or more controlled exit methods as appropriate in the circumstances, including:

* (a) delivering the Card to a supported address;
* (b) transferring the Card to a Vault recognized by us;
* (c) permitting the Card to be listed for sale within a limited period;
* (d) permitting you to accept a quote from an independent third party;
* (e) returning, or permitting you to withdraw, a withdrawable balance; or
* (f) providing another exit method that we consider lawful, reasonable, and technically feasible.

We do not guarantee that every exit method will be available in every circumstance. If applicable sanctions, a court order, anti-money laundering requirements, asset-freeze obligations, or other legal requirements prohibit us from processing the relevant assets, we may freeze, reject, delay, restrict, or report the relevant assets and transactions as required by law.

#### 4.9 Uncompleted Orders

If an order cannot be fulfilled because of a jurisdictional restriction or eligibility issue, and the random outcome, Card allocation, or transfer of ownership has not been completed, we will generally issue a refund through the original payment channel, to the originating wallet address, or through another compliant method.

Blockchain network fees, payment fees, or third-party charges that have actually been incurred and cannot be recovered may be deducted from the refund only if they were clearly disclosed before the transaction and the deduction is permitted by applicable law.

If the random outcome has been determined, the Card has been allocated, and you have acquired ownership, the Card will be handled in accordance with Section 4.8 and will not automatically be treated as an uncompleted order.

#### 4.10 Appeals and Manual Review

If you believe that our determination regarding jurisdiction, identity, sanctions, or transaction eligibility is incorrect, you may submit proof of residence, proof of actual physical location, corporate registration records, identity documents, proof of wallet ownership, or other relevant materials to customer support.

We will conduct a manual review or an escalated review of the appeal and will explain the outcome to you to the extent permitted by applicable law and security requirements. Submitting an appeal does not automatically require us to restore restricted features while the review is pending.

#### 4.11 Sanctions Compliance

No individual, entity, wallet, funds, or transaction prohibited under applicable sanctions laws may use the Services. Because sanctions rules, lists, ownership and control standards, licenses, and exemptions may change dynamically, we will make determinations based on the laws and compliance obligations then applicable to the Platform, its Service Providers, and the relevant transaction, rather than solely on the static list of countries and territories set out in this Agreement.

To the extent permitted by applicable law, we may reject, suspend, freeze, delay, cancel, or report any account or transaction that may violate sanctions, export controls, anti-money laundering requirements, or other legal restrictions, and we may require you to provide supplemental information or evidence of the source of funds.

### 5. Nature of the Product, Allocation, and Ownership

#### 5.1 Genuine Physical Product

Each basic Gacha for which payment has been completed and a valid allocation has been made corresponds to one genuine, identifiable physical Card. A basic Gacha does not include a cash Jackpot. Any separate promotion or Grail reward is governed by its official rules.

#### 5.2 Vesting of Rights

Once payment has finally settled and the system has completed a valid allocation in accordance with the locked rules, you acquire exclusive beneficial ownership of, and the right to direct the disposition of, that Card; the DCR is the Platform's record of that right. If the law of a particular jurisdiction requires ownership to pass upon delivery or at another time, the mandatory law of that jurisdiction applies.

#### 5.3 Custody Structure

A Vault or other custodian holds Cards only under the disclosed custody arrangement. The Platform will describe an arrangement as a trust, SPV, nominee arrangement, or bankruptcy-remote structure only if and when the corresponding legal documents and structure have actually taken effect. User Cards must be individually identified or segregated in a verifiable manner and may not be used as assets of the Platform or pledged as security for the Platform's debts.

#### 5.4 Not a Pooled Investment

Unless separate, compliant product documentation expressly states otherwise, a user acquires one whole Card, not a fractional interest, fund unit, debt claim, yield product, profit-sharing right, or investment in the Platform. We do not promise appreciation, liquidity, or resale returns.

#### 5.5 Manifest Errors

If a price, inventory entry, or Card description contains a manifest technical error that any reasonable user should recognize, we may reject or correct the order before the transaction is completed. After a transaction has been completed, a correction may be made only in the event of fraud, duplicate allocation, an ownership conflict, compromised system integrity, or a legal requirement, and an appropriate refund, replacement, or other statutory remedy will be provided.

### 6. Probability Disclosures and User Protections

#### 6.1 Pre-Payment Disclosures

Before you confirm payment, the product page will clearly display the **Gacha** price, inventory pool or Card categories, probabilities and the basis on which they are calculated, valuation methodology, principal fees, reveal timing, inventory or campaign period, user-protection mechanisms, and the available options after the reveal.

#### 6.2 Actual Probability for an Order

Any figure shown to you as the "Probability for This Order" or with similar wording must correspond to the allocation rules actually used for that order. Probabilities may be generated off-chain, but we will retain the relevant page version, timestamp, inventory snapshot, rules applicable to the order, protection logic, random or deterministic allocation record, and result.

#### 6.3 Base Probabilities and Protection Mechanisms

The probabilities published by the Platform are uniform base probabilities applicable to all users under the same conditions. To improve user experience, the Platform may from time to time introduce benefits such as guaranteed-minimum outcomes or bonus allocations. When such mechanisms are triggered, your overall expected outcome may be more favorable than the published base probabilities.

#### 6.4 Basis of Probability Calculation

The probability page will state whether probabilities are calculated by Card, tier, value range, remaining inventory, or another basis; whether allocation is with or without replacement; whether inventory changes affect subsequent orders; and the update timing and rounding rules for the figures. Rounding differences may not conceal a material change.

#### 6.5 Audit and Witnessing

We may use independent testing, segregation of duties, tamper-resistant logs, code review, inventory reconciliation, external audits, or third-party witnessing required by local law. Recording information on-chain is not the sole measure of fairness. If a jurisdiction requires specific notarization, witnessing, filing, or reporting, we may make the relevant feature available only after the requirement has been satisfied.

### 7. Reference Values and Card Information

#### 7.1 Informational Nature

Grades, population data, historical sales, valuation ranges, and reference values are provided for informational purposes. Markets may be inactive or data may be delayed, and condition, provenance, grade, currency, platform, fees, buyer demand, and timing may cause the actual transaction price to differ materially.

#### 7.2 Data Sources

To the extent reasonably practicable, we will display the principal data sources, the valuation date or last-updated time, the currency, and any material adjustments. An error in third-party data does not automatically relieve us of liability under applicable law for our own misleading statement or failure to conduct reasonable verification.

#### 7.3 Minimum Reference Value

If a Gacha displays a "Minimum Reference Value," that amount represents only a reference value calculated using the methodology and as of the time disclosed before payment. It is not a commitment by any buyer to purchase at that amount unless the same page also provides an acceptable, binding offer.

#### 7.4 Misdescription

If a Card is counterfeit, is not the Card allocated to you, or has been materially misdescribed with respect to authenticity, grade, condition, edition, or other material information, you may seek a refund, replacement, repair, or other remedy under the Platform Rules and applicable law.

### 8. Vault, Authentication, Insurance, and Loss

#### 8.1 Custody

Unless you request delivery, a Card may remain stored in the Vault after it is revealed. The Vault Rules will disclose the custodian, location or jurisdiction, fees, insurance coverage, inspection conditions, withdrawal process, processing times, and the method by which each Card is identified.

#### 8.2 Authentication and Grading

A third-party grade or authenticity opinion is independently issued by the relevant provider; another grading provider, buyer, or court may reach a different conclusion. The Platform may not rely on the involvement of a third party to exclude liability that it is required by law to bear for selecting, instructing, describing, or supervising a Service Provider.

#### 8.3 Insurance

Insurance coverage may be subject to deductibles, exclusions, per-item or aggregate limits, and claims investigations. Any insurance limit materially affecting a high-value Card will be clearly disclosed before the Card enters the relevant custody arrangement.

#### 8.4 Loss of or Damage to a User's Card

If a Card owned by a user is lost, stolen, or suffers material and irreparable damage due to the fault of us or a Vault for which we are legally responsible, a limitation of liability may not simply reduce your property loss to the Gacha price or to a general liability cap. Direct loss will generally be determined based on the reasonably verified fair market value of the Card immediately before the event, applicable insurance, and mandatory law; a reference value does not itself constitute a guarantee of automatic compensation.

### 9. Physical Delivery, Withdrawal, and Re-Vaulting

#### 9.1 Eligibility for Delivery

You may request delivery where the destination, Card, and logistics service are supported. You must complete all necessary verification, pay any logistics, insurance, customs duties, and taxes disclosed in advance, and provide an accurate, deliverable address.

#### 9.2 Transfer of Risk

Ownership and transit risk pass as specified on the settlement page or in the logistics rules, subject to mandatory local consumer law. Estimated delivery times are not guaranteed; customs, carriers, weather, security incidents, and force majeure may cause delays.

#### 9.3 Inspection and Claims

Please inspect the package within a reasonable period after receipt and report any loss, tampering, misdelivery, or material damage. A claim period stated in the Platform Rules does not shorten any longer period prescribed by law or exclude a latent issue that a user could not reasonably have discovered.

#### 9.4 Suspension of DCR Trading

After a Card has been dispatched, the corresponding DCR will be permanently invalidated or suspended from trading until the Card has been received by a recognized Vault, re-authenticated, its title confirmed, and re-registered, in order to prevent duplicate sales or duplicate claims of rights.

### 10. Marketplace, Listings, and User Transactions

#### 10.1 Marketplace Role

If the Platform makes marketplace functionality available, users may list, purchase, sell, bid for, or exchange Cards. Unless a transaction page expressly identifies Market.Cards or an affiliate as the seller or buyer, the contract for the sale and purchase of a Card is entered into directly between the buyer and seller, and we provide the venue, recordkeeping, custody, and settlement support.

#### 10.2 Counterparty and Conflict Disclosures

Before a transaction is confirmed, we will disclose the type of seller or buyer, whether the Platform or an affiliate is the counterparty, the price, principal fees, settlement method, and material restrictions. If the Platform or an affiliate is a counterparty, conflicts of interest relating to inventory, pricing, and liquidity may arise.

#### 10.3 Binding Effect of Orders

An order becomes binding once accepted or matched in accordance with the Marketplace Rules and may be filled in full, filled in part, or remain unfilled. We may delay, reverse, or correct a transaction in the event of fraud, payment failure, sanctions, an ownership dispute, manifest error, manipulation, compromised system integrity, or a legal requirement.

#### 10.4 Seller Obligations

A seller must own the Card or have sufficient authority to sell it, accurately disclose material facts affecting authenticity, grade, condition, provenance, and value, and comply with applicable tax, sanctions, and consumer laws.

#### 10.5 Market Integrity

Wash trading, self-trading, matched orders, artificial inflation of trading volume, collusion, sham listings, front-running, price manipulation, and misuse of non-public inventory information are prohibited. The Platform may monitor, restrict, reverse, and report suspicious activity to the competent authorities.

### 11. Buyback Offers and Liquidity

#### 11.1 Optional Exit; No Continuing Repurchase Obligation

After a reveal, the Platform may make a Buyback Offer. A Buyback Offer is not a refund and does not guarantee that an offer will be made for every Card, in every jurisdiction, or at any future time.

#### 11.2 24-Hour Price Lock

If a page states that a Buyback Offer is locked for 24 hours, the Buyback Offer will remain available for acceptance on the conditions shown on the page between the displayed start and end times, but may be suspended due to sanctions, fraud, an ownership dispute, a manifest system error, or a legal requirement. After expiry, the Platform may discontinue the Buyback Offer or make a new Buyback Offer based on updated market information.

#### 11.3 Platform Buyback and Objective Pricing

The Platform will make a Buyback Offer directly to you for a specific Card. The offered price is calculated by a system algorithm using objective market data, including public records of secondary-market transactions and market prices for comparable items. The Platform undertakes not to intervene unilaterally based on subjective judgment or arbitrarily set the offered price. Ownership of the Card transfers only after you affirmatively accept the Buyback Offer within its validity period and settlement is completed. We will not accept an offer by default or automatically apply the proceeds to another Gacha purchase.

#### 11.4 Valuation and Conflicts of Interest

Although a Buyback Offer is based on objective market data, it may still be materially lower than Fair Value or the Gacha price due to factors including liquidity discounts and the Platform's operating costs. The Platform may profit from the spread, fees, or a subsequent resale. This conflict of interest and the counterparty model will be disclosed before you accept the offer.

### 12. USDC, Payments, Balances, and Settlement

#### 12.1 Supported Assets and Networks

Unless otherwise stated on the transaction page, the Services may support USDT on specified networks or other expressly supported payment methods. You may send only the specified asset, over the specified network, to the address displayed on the page. A transfer using an incorrect network, incorrect asset, or incorrect address may be irrecoverable.

#### 12.2 Third-Party Risks

Stablecoins such as USDT are issued by third parties and are not legal tender, bank deposits, or obligations of the Platform. They may lose their peg, be frozen, or be affected by events involving the issuer, blockchain, wallet, Service Provider, or regulator.

#### 12.3 Payment and Wallet Roles

Payment, wallet, conversion, withdrawal, or custody services may be provided by appropriately qualified third parties under their own terms. Unless expressly disclosed by the Platform and permitted by law, Market.Cards does not provide general deposit accounts, money transmission, or public exchange services.

#### 12.4 Balances

If the Platform provides a balance, points, or a wallet ledger, the relevant page will explain its nature, permitted use, deposit or withdrawal methods, fees, expiration, and bankruptcy-remoteness arrangements. A Platform balance may not be described as a bank deposit or a risk-free asset.

#### 12.5 Settlement Delay and Finality

Blockchain confirmations, KYC/AML checks, chargebacks, ownership verification, fraud investigations, technical failures, or legal proceedings may delay settlement. Except where required by law or in the event of a duplicate charge, a qualifying unauthorized transaction, or a Platform error, a confirmed on-chain transaction will not be reversed solely because a user changes their mind or because of market fluctuations.

### 13. Fees, Taxes, Refunds, and Withdrawal Rights

#### 13.1 Fees and Spreads

Material charges, including the Gacha price, marketplace fee, buyer's premium, seller fee, quote fee or spread, Vault fee, authentication or grading fee, delivery fee, insurance fee, network fee, and payment fee, will be clearly displayed before the transaction or in a binding fee schedule.

#### 13.2 Taxes

You are responsible for taxes, customs duties, and filing obligations imposed on you by law. We or our Service Providers may calculate, collect, withhold, or report amounts as required by law. Any estimate of taxes or duties is not tax advice.

#### 13.3 Finality After Reveal

After a Gacha has been revealed, it generally may not be cancelled solely because you do not like the Card received, the grading result, market performance, or a quote. This does not exclude refunds or remedies for non-delivery, duplicate charges, qualifying unauthorized transactions, counterfeit goods, material misdescription, material probability errors, allocation failures, defective goods, or any other circumstance giving rise to a statutory refund or remedy.

#### 13.4 Withdrawal or Cooling-Off Period

If local law provides a right to withdraw from a distance contract or a cooling-off period, we will provide the required statutory information before the transaction. If the law permits a user to request immediate performance and consent to an immediate reveal after acknowledging the consequences, we will obtain the user's separate and express consent. If the right may not be excluded by law, the statutory right remains in effect.

#### 13.5 Refund Method

A refund will ordinarily be returned to the original payment method. If the original channel is unavailable, or if required by law, sanctions, or payment rules, we may use another lawful method after completing verification. Refund timing is subject to payment-network and blockchain processing.

#### 13.6 Chargebacks

Raising a genuine payment dispute does not constitute a breach. An abusive chargeback, duplicate claim after a user has obtained a Card or balance, submission of false evidence, or circumvention of a customer-support investigation may result in account restrictions, reversal of a transaction, or recovery proceedings as permitted by law.

### 14. AMOE, Promotions, and Referrals

#### 14.1 Separate Official Rules

A sweepstakes, Grail, contest, or other promotion will be governed by separate Official Rules specifying the sponsor, eligibility, jurisdictions, promotion period, number of entries, prizes, calculation of odds, drawing, notification, prize claim, taxes, disputes, and privacy practices. This Agreement provides only the common baseline terms.

#### 14.2 Alternative Method of Entry

Where an AMOE applies, a promotional entry may be obtained without a purchase. To the extent required by law, a valid free entry has the same chance of winning as a paid entry, and a purchase does not increase the chance of winning. The AMOE submission method may not impose materially unreasonable barriers.

#### 14.3 Jurisdiction and Age

Promotions are void in jurisdictions where prohibited or restricted and may apply geoblocking, age, registration, frequency, and identity-verification rules different from those applicable to the basic Services. A participant may be required to be located in an eligible jurisdiction both when submitting an entry and when a drawing occurs or a prize is claimed.

#### 14.4 Separation from Basic Gacha

Unless expressly stated in the Official Rules, AMOE and promotional prizes are not included in the inventory or probability calculations for a basic Gacha. An AMOE does not alter the nature of the basic Gacha as a product and cannot cure an inaccurate probability disclosure for the basic product.

#### 14.5 Anti-Abuse

Self-referrals, bots, bulk fake accounts, impersonation, collusion, chargebacks, tampering with credentials or evidence, and other fraud may result in invalidation of an entry, cancellation of a reward, and account restrictions, but the Platform will retain necessary evidence and provide a reasonable appeal channel.

### 15. Responsible-Use Measures

#### 15.1 Risk Warning

Randomized purchases may cause financial loss or impulsive spending. The Platform may provide budgeting tools, frequency limits, cooling-off periods, loss reminders, self-exclusion, or purchase-suspension tools and may impose mandatory limits based on jurisdiction or risk.

#### 15.2 No Automatic Repeat Purchases

Proceeds from a quote, marketplace sale, or promotion will not automatically be applied to another Gacha. Each paid purchase must be separately and affirmatively confirmed by you, and the material price, probability, and fee information must be visible before confirmation.

#### 15.3 Protective Intervention

If the system identifies abnormal frequency, suspected use by a minor, account takeover, fraud, or clear signs of loss of control, we may suspend transactions, require a cooling-off period, or conduct enhanced verification. A protective intervention does not constitute a diagnosis of an individual's health condition.

### 16. Prohibited Conduct

#### 16.1 Unlawful Use

You may not use the Services for illegal gambling, money laundering, terrorist financing, sanctions evasion, fraud, theft, tax evasion, market manipulation, or trading in counterfeit, stolen, or restricted goods.

#### 16.2 Technical and Account Abuse

You may not create multiple or nominee accounts, share an account, use bots or automated purchasing, scrape non-public data, hack or interfere with systems, circumvent jurisdictional or frequency limits, or exploit a system error, leaked inventory information, employee information, a prediction tool, or a compromised randomization mechanism.

#### 16.3 Conflicting Rights

While a DCR remains valid, you may not sell, pledge, transfer, or assert duplicate rights in the same Card through an unsupported channel.

#### 16.4 Content and Conduct

You may not harass another person, impersonate another person, publish unlawful or infringing content, submit false complaints or documents, or use the Services, without written permission, as infrastructure for commercial resale, money transmission, purchasing on behalf of others, or automated trading.

### 17. Third-Party Services

#### 17.1 Separate Terms

Third-party Service Providers may apply their own terms and privacy policies. We will exercise reasonable care in selecting, contractually binding, and supervising Service Providers in light of their responsibilities and risks, but we cannot control blockchain networks, stablecoin issuers, carriers, grading providers, app stores, banks, payment networks, data sources, or third-party marketplaces.

#### 17.2 No Exclusion of Statutory Liability

The involvement of a third party does not exclude liability imposed on us by applicable law for selection, disclosure, instruction, supervision, or the delivery of funds or goods. If a third party's terms conflict with this Agreement, those terms apply only within the scope of the relevant third-party service and may not diminish mandatory consumer rights.

### 18. Risk Disclosures and No Advice

#### 18.1 Collectibles Risk

Card prices may fluctuate significantly, fall to zero, or become illiquid. Historical sales, population data, and reference values may be unavailable, inaccurate, or no longer representative. Collectibles should not be treated as savings products or principal-protected products.

#### 18.2 Quote Risk

A quote may be materially lower than the Gacha price or reference value and may cease to be available after it expires. A 24-hour price lock binds only the specific valid quote and does not guarantee ongoing liquidity from the Platform.

#### 18.3 Physical and Technical Risks

Cards may be damaged or lost, incorrectly graded, counterfeit, or subject to an ownership dispute. Wallets, smart contracts, networks, stablecoins, and Service Providers may fail, freeze, lose their peg, be attacked, or become subject to legal restrictions.

#### 18.4 No Professional Advice

Market.Cards does not provide investment, financial, tax, legal, grading, or valuation advice. You should decide whether to purchase, hold, take delivery of, or sell a Card based on your own circumstances.

### 19. Intellectual Property and User Content

#### 19.1 Platform Rights

Market.Cards and its licensors own the Services, software, designs, trademarks, and Platform Content. We grant you a limited, personal, revocable, and non-transferable license to use the Services. Rights in Card images, athletes, characters, and third-party trademarks may belong to the respective rights holders.

#### 19.2 License to User Content

You retain your rights in content that you submit and grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, review, display, and use that content to operate, improve, and promote the Services. This license is subject to the Privacy Policy, applicable law, and the scope of public visibility that you select.

#### 19.3 User Warranties

You must have the right to submit the relevant content, and the content may not infringe intellectual property, privacy, personality, or other rights. We may remove unlawful, infringing, fraudulent, or harmful content and disclose necessary information in response to valid legal process.

#### 19.4 Feedback

We may use general product suggestions that you voluntarily provide without compensation, but we will not treat a confidential legal notice, privacy request, customer-support evidence, or non-public business information as feedback that may be publicly promoted.

### 20. Privacy, Electronic Communications, and Evidence

#### 20.1 Privacy Policy

We process personal information in accordance with the separate Privacy Policy. To provide the Services, enforce geoblocking, prevent fraud, conduct KYC/AML and sanctions screening, process payments, provide Vault services and delivery, resolve disputes, and comply with law, we may process or share necessary information with the relevant Service Providers and competent authorities.

#### 20.2 Electronic Notices

To the extent permitted by law, you agree to receive contracts, confirmations, receipts, jurisdictional restrictions, risk notices, and legal notices through your account, in-app messages, email, or another electronic method you have selected. You may save or print these records and must keep your contact information current.

#### 20.3 Evidence of Consent

We may retain the version of the Agreement presented to you, checkbox status, timestamps, account information, device information, IP address, transaction page, probability page, order confirmation, and notice-delivery records as evidence of contract formation, disclosures, and transaction instructions. Such records remain subject to the Privacy Policy and data-retention rules.

### 21. Service Changes, Suspension, Account Closure, and Asset Exit

#### 21.1 Changes to Future Features

We may modify or discontinue future features for legal, security, Service Provider, operational, or product reasons, but will not retroactively alter completed Card allocations, accepted quotes, or settled ownership solely for business convenience.

#### 21.2 Suspension

We may restrict an account or specific features while investigating a breach, security incident, account takeover, sanctions issue, payment failure, ownership dispute, manipulation, harmful conduct, or legal proceeding. Where reasonably practicable and lawful, we will explain the reason and provide an appeal channel.

#### 21.3 Account Closure

You may request to close your account, and we may close an account for a material or repeated breach. Account closure does not, by itself, forfeit Cards you lawfully own, settled balances, or rights arising from completed transactions. We may require verification and arrange delivery, transfer, sale, or return through a lawful, controlled process.

#### 21.4 Inactive Accounts

If an account remains inactive for an extended period, we may charge a reasonable custody fee that was clearly disclosed in advance and may handle balances or Cards in accordance with applicable unclaimed-property, notice, and custody laws. The Platform may not take ownership of a user's Card without notice solely because of inactivity.

#### 21.5 Survival

Provisions concerning ownership, payments, fees, risks, liability, disputes, intellectual property, privacy, and records survive account closure to the extent necessary.

### 22. Disclaimers and Limitations of Liability

#### 22.1 Service Standard

Except for express commitments in this Agreement, a transaction confirmation, the Platform Rules, or mandatory law, the Services are provided "as is" and "as available." We do not guarantee uninterrupted Services, the availability of future liquidity, a particular Card grade, a stable market value, or the continued availability of a quote after it expires.

#### 22.2 Liability That Cannot Be Excluded

No disclaimer or limitation of liability applies to fraud; willful misconduct; gross negligence to the extent liability for it cannot lawfully be excluded; death or personal injury caused by negligence; an obligation to return a user's settled balance or a Card already owned by the user; a consumer guarantee that cannot be excluded; or any liability that may not be limited by law.

#### 22.3 Indirect Loss

To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, punitive, or consequential loss that was not reasonably foreseeable, including purely economic loss of profit, opportunity, or anticipated appreciation.

#### 22.4 General Liability Cap

Except as provided in Sections 22.2 and 22.5, our aggregate liability for all claims relating to the Services during any consecutive 12-month period will not exceed the greater of: the fees you actually paid to Market.Cards for the affected Services during that period; the amount of the directly affected transaction; or USD 1,000. If local law prescribes a higher cap or prohibits application of a cap, local law applies.

#### 22.5 User Property and Balances

Section 22.4 may not be used to reduce our obligation to return a user's settled balance, deliver a user's Card, or bear direct liability for the loss, theft, or material damage of a Card for which we are legally responsible. Such liability will be determined in accordance with Section 8.4, the actual demonstrable loss, applicable insurance arrangements, and applicable law.

### 23. User Indemnification

#### 23.1 Limited Scope

To the extent permitted by law, you will indemnify Market.Cards and its personnel only for reasonable, demonstrable losses and expenses arising directly from a third-party claim resulting from unlawful conduct committed by you willfully or with gross negligence; your sale of a counterfeit Card or listing of a Card without authority; your infringement of a third party's rights; your market manipulation; your fraud; or your material breach of this Agreement.

#### 23.2 Exclusions

You are not required to provide indemnification for our breach, negligence, misconduct, failure to reasonably mitigate loss, or liability that we are required by law to bear. A consumer's indemnification liability will not exceed the scope permitted by applicable law.

### 24. Complaints and Internal Resolution

#### 24.1 Customer Support Complaints

Complaints regarding a transaction, probability, Card, Vault, quote, payment, or geoblocking may be sent to <hello@market.cards>. Please provide your account information, order or Card number, a description of the issue, your desired resolution, and relevant evidence.

#### 24.2 Legal Notices

Formal legal notices and arbitration opt-out notices must be sent to <legal@market.cards>, with a copy to the address for service published in the Legal Center if required by law.

#### 24.3 Handling

We will acknowledge a complaint within a reasonable period, preserve relevant records, and provide a reasoned response. If applicable law prescribes a specific time limit or escalation process, that requirement will apply. An urgent security, sanctions, or property risk may be prioritized.

#### 24.4 External Channels

This Section does not limit your right to submit a complaint to a consumer, privacy, payment, gambling, or other competent authority, or to use small claims court, statutory mediation, consumer arbitration, or another non-waivable channel.

### 25. Governing Law, Arbitration, and Waiver of Class and Representative Proceedings

#### 25.1 Prior Informal Resolution

Except where emergency relief is sought, a claim is brought in small claims court, or a statutory deadline is about to expire, before commencing formal arbitration the claiming party must send the other party a written notice of dispute describing the facts, legal basis, and specific relief sought and allow a 60-day good-faith negotiation period. During the negotiation period, applicable limitation periods and filing deadlines will be tolled, except where tolling is not permitted by law.

#### 25.2 General Governing Law

This Agreement is governed by the laws of the British Virgin Islands, without regard to its conflict-of-laws rules. Mandatory consumer-protection, product, privacy, promotion, sanctions, and procedural rights under the law of your ordinary residence or place of transaction continue to apply. The selection of BVI law does not deprive a consumer of the protections afforded by mandatory law.

#### 25.3 Arbitration Outside the United States

For any dispute not governed by Sections 25.5 through 25.11, to the extent permitted by local law, any unresolved dispute will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules in force when the arbitration is commenced. The seat of arbitration will be Singapore, the tribunal will consist of one arbitrator, and the language of the arbitration will be English. For the convenience of consumers, proceedings may be conducted by video, telephone, or written submissions, and necessary translated materials may be accepted.

#### 25.4 Mandatory Forums for Non-U.S. Consumers

S. Consumers. If the law of a consumer's jurisdiction provides a non-waivable right to access local courts, consumer arbitration, mediation, administrative complaints, or another form of relief, Section 25.3 applies only to the extent permitted by law. The user may elect the mandatory forum. The Platform will not require a consumer to bear arbitration costs exceeding the amount permitted by law or costs that are manifestly disproportionate.

#### 25.5 U.S. Arbitration Agreement

S. Arbitration Agreement. If you reside in the United States or the relevant transaction occurs primarily in the United States, this arbitration agreement is governed by the Federal Arbitration Act ("FAA"). Except as expressly provided in this Section, any past, present, or future dispute arising out of or relating to the Services, the products, this Agreement, or the relationship between the parties will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under the Consumer Arbitration Rules and Mediation Procedures in effect when the claim is filed.

#### 25.6 30-Day Opt-Out Right for U.S. Users

S. Users. You may opt out of U.S. arbitration by emailing <legal@market.cards> within 30 days after you first become subject to Section 25.5. Your notice must include your name, account email address or username, information sufficient to identify your account, and an express statement that "I elect to opt out of arbitration." A timely opt-out does not affect any other provision of this Agreement or any arbitration agreement separately executed by the parties.

#### 25.7 U.S. Arbitration Procedures and Fees

S. Arbitration Procedures and Fees. Arbitration will generally take place in your place of residence, at a location agreed by the parties, or by video, telephone, or written submissions. The consumer's fees will not exceed the consumer share specified under the AAA Rules, and we will pay the administrative fees and arbitrator compensation that those Rules require a business to pay. The arbitrator may award any monetary or non-monetary relief available to an individual in court and will issue a reasoned written award.

#### 25.8 Small Claims, Regulatory Complaints, and Emergency Relief

Either party may bring an individual claim in small claims court if the jurisdictional requirements are satisfied, and a user may submit a complaint to a competent authority. Either party may seek temporary or emergency relief from a court of competent jurisdiction where necessary to protect intellectual property, account security, assets, or the effectiveness of the arbitration. A claim for public injunctive relief that is non-arbitrable under California law may be brought in a court of competent jurisdiction.

#### 25.9 Waiver of Jury Trial

To the maximum extent permitted by law, you and Market.Cards voluntarily waive the right to have a dispute subject to arbitration heard in court by a judge or jury. An arbitrator may award, on an individual basis, the same relief that a court may award, but judicial review of an arbitration award is generally more limited.

#### 25.10 Waiver of Class, Collective, and Representative Proceedings

To the maximum extent permitted by law, a dispute subject to arbitration may be brought only in an individual capacity and may not be brought as a class action, class arbitration, collective, consolidated, representative, private-attorney-general-style, qui tam, or other proceeding on behalf of another person's interests. Claims of different users may not be consolidated for hearing unless the parties agree in writing after the dispute arises or the applicable rules permit arrangements for administrative efficiency that do not alter the individual nature of each claim.

#### 25.11 Mass Arbitration

If 25 or more consumer arbitration demands involving similar factual or legal issues are brought by the same or coordinated counsel or organization, the AAA Mass Arbitration Supplementary Rules will also apply to the extent applicable. Each demand remains individual in nature. A process arbitrator may address filing, fees, mediation, case management, and threshold issues under the AAA Rules. Applicable limitation periods will be tolled to the extent permitted by the Rules, and an individual claim may not be forfeited because of case-management delay.

#### 25.12 Severability

If Section 25.10 is unenforceable as to a specific claim or form of relief, that portion will be severed from arbitration and decided by a court of competent jurisdiction, while all remaining individual claims will proceed in arbitration. Unless applicable law requires otherwise, any other invalid portion will be narrowed to the minimum extent necessary without affecting the remainder of this Section.

#### 25.13 Survival and Amendment of Arbitration Provisions

This Section survives account closure. If we make a material amendment to this Section, we will require renewed affirmative consent and permit a user already bound by an earlier version to reject the material amendment within 30 days after notice. If a user timely rejects the amendment, the earlier version will continue to govern disputes arising before the amendment. The Platform may discontinue future transaction features for a user who rejects the amendment, but may not forfeit the user's existing assets or rights to relief.

### 26. Amendments and General Provisions

#### 26.1 Agreement Updates

We may update this Agreement prospectively. To the extent reasonably practicable, material amendments will be notified in advance through the Services and by email. An amendment requiring express consent will not be deemed accepted solely through continued use. A completed transaction will generally be governed by the terms in effect when it was completed, except as otherwise required by law.

#### 26.2 Assignment

You may not assign your account or this Agreement without our written consent. We may assign this Agreement in connection with a merger, reorganization, financing, or sale of the business, subject to any notice required by law, and no assignment may materially diminish a user's existing rights in Cards, balances, or under mandatory law.

#### 26.3 Severability, Waiver, and Headings

Except as specifically provided in Section 25, if a provision is unenforceable, it will be narrowed to the minimum extent necessary and the remaining provisions will continue in effect. A failure to exercise a right does not constitute a waiver. Headings are for convenience only, and "including" means "including without limitation."

#### 26.4 Entire Agreement

This Agreement, the Privacy Policy, and the applicable Platform Rules constitute the entire agreement between the parties concerning the Services and supersede prior informal explanations regarding the same subject matter. Fraud, disclosures required by law, and express representations that cannot be excluded are not affected by this Section.

#### 26.5 Force Majeure

To the extent permitted by law, an affected party is not liable for a delay caused by an event beyond its reasonable control that could not have been avoided through reasonable measures. Payment obligations, protection of Cards in which ownership has passed, data-security notification obligations, and consumer obligations that cannot be excluded are not automatically excused.
